Community-Driven Content: Terms and Conditions

soomusicproject.ca is a community-driven site, which means that users provide the vast majority of the site content, including show listings, band and musician profiles, resource and venue information, comments and message board posts. Although registration is not required to view site content, registration is required in order to contribute content, including posting comments or messages, to soomusicproject.ca.

Please read these Terms and Conditions carefully before submitting content to the soomusicproject.ca site. By submitting content you signify your consent to these Terms and Conditions. If you do not agree to these Terms and Conditions, please do not submit content to this site.

We reserve the right to modify these Terms and Conditions at any time. Any such modifications are effective immediately upon posting the modified Terms and Conditions. We encourage users to periodically review the Terms and Conditions to be aware of any changes. Your continued use of the soomusicproject.ca site shall be deemed as acceptance of the Terms and Conditions as modified from time to time.

1. Registration and User Submissions

By registering with soomusicproject.ca, you agree that any post or shared content deemed inappropriate may be removed at the sole discretion of soomusicproject.ca. soomusicproject.ca also has the right, at its sole discretion, to revoke posting and sharing privileges at any time without notice or reason.

You shall be solely responsible for your own user submissions and the consequences of posting or publishing them. In connection with user submissions, you affirm, represent, and/or warrant that: you own or have the necessary licenses, rights, consents, and permissions to use and authorize soomusicproject.ca to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all user submissions and have all necessary consents to collect, use and disclose any personally identifiable information contained or displayed in any and all user submissions.

2. Prohibited Activities

It is a condition of contributing content to soomusicproject.ca that you do not:

* Restrict or inhibit any other user from using and enjoying soomusicproject.ca;
* Post or transmit any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane or indecent information of any kind, including without limitation any transmission constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any local, provincial, national or foreign law;
* Post or transmit any information, software or other material which violates or infringes upon the rights of others, including material which is an invasion of privacy or publicity rights or which is protected by copyright, trademark or other proprietary right or derivative works with respect thereto, without first obtaining permission from the owner or right holder;
* Post or transmit any information, software or other material which contains a virus or other harmful component; and
* Post or transmit any senseless, vacuous, or empty messages (party posts, chain letters, continually posting the same topic, etc.) or engage in spamming your personal or commercial site.

3. Control of Content
soomusicproject.ca is not responsible for community-driven content posted on soomusicproject.ca and we do not control the messages, information or files delivered to the site, unless otherwise noted therein. However, we reserve the right at all times to disclose any information arising out of or relating to transmissions through message boards, comments, show listings, band and musician profiles, and venue and resource information, including without limitation, as necessary to satisfy any law, regulation or governmental request, and further reserve the right to edit, refuse to post or to remove any information or materials, in whole or in part, that in our sole discretion are objectionable or in violation of these Terms and Conditions.

Message Boards and Comments
soomusicproject.ca includes message boards and comment sections on band, musician and venue profiles to allow feedback and interaction between users. (Note: profile owners have the ability to disable public comments). soomusicproject.ca and its operators cannot be held responsible for the content of any message or comment. All posted messages, images, and links are the express view of the author of the content and not those of soomusicproject.ca. soomusicproject.ca has the right but not the obligation to monitor and/or moderate the message boards and comments sections.

Show Listings
soomusicproject.ca compiles event listings, some or all of which may, at our discretion, be shared with other print or online publications such as community newspapers or other local websites.

Audio Content

Registered users have the ability to upload audio content in the form of MP3 files. This service is intended to allow bands and musicians to provide audio samples of their own music for preview and, when applicable, download by other soomusicproject.ca users. By default, audio files are only available as �streaming� content. However, users have the ability to allow the files to be downloaded directly from soomusicproject.ca. Users should be aware that even where the download option has been disabled, this does not guarantee that the streaming audio content may not be otherwise captured or copied.

4. Copyright of User Submissions
In connection with user submissions, you agree that you will not submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner and the necessary consents from any individuals whose personally identifiable information is contained in such material to post the material and to grant soomusicproject.ca all of the license rights granted herein.

For clarity, you retain all of your ownership rights in your user submissions. However, by submitting user submissions to soomusicproject.ca, you hereby grant soomusicproject.ca a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the user submissions in connection with soomusicproject.ca, including without limitation for promoting and redistributing part or all of the soomusicproject.ca website. The above licenses granted by you on user submissions terminate within a commercially reasonable time after you remove or delete your user content from soomusicproject.ca. You understand and agree, however, that soomusicproject.ca may retain, but not display, distribute, or perform, server copies of user submissions that have been removed or deleted.

Note: All content submitted to soomusicproject.ca is stored on a shared database that may be accessed and used by other websites in our network. Content may also appear on venue, promoter and/or band websites.
